Mutant Short TGAG barrel replacements
Has anyone received news about getting their barrels? Over three weeks for me and no news or updates. I’m usually a patient guy but man was TGAG quick to take my money. FMR!

Okey631, I have injected myself into assisting every customer that has ANY issue that called me. We’ve been clearing up every issue one-by-one. If anyone is not satified with their issue, they should call my cell at 714-612-5956. All this talk about what California law just covers up the point that we are fixing the issues. Who cares, as long as we fix it?

Again, your assumption is incorrect. These “Problems” you mention? You assume incorrectly that we haven’t been handling any issues. Who has any issues now? If anyone does, please contact me directly by telephone. (not by text, email, forum, but directly on my cell 714-612-5956).

The thing you don’t realize is Petr could have just walked away from the business, kept his day job, and where would everyone have been then?

The de facto merger exception will trigger if three or more of the following four factors exist for a particular transaction:
Is there a continuation of the enterprise?
Is there a continuity of shareholders?
Has the selling company ceased its ordinary business operations?
Has the purchasing company assumed the seller’s obligations?
The de facto merger exception is a common-culprit in causing successor liability.
A de facto merger will not necessarily exist, when only two of the four factors exists, especially if it can be shown the purchaser paid fair market value for the assets of the business.
A “continuation of the enterprise” may be shown if the physical location, assets, operations, management, employees, branding and/or clients are the same (or substantially similar) between the seller and the purchaser.
A “continuity of shareholders” means substantially the same (or similar) ownership between between the seller and the purchaser. Minor similarities in ownership may not necessarily trigger this factor, but including the seller as a major partner in the new establishment could.
A “cessation of operations” looks at whether the selling company continued to exist and/or its operations post-sale. If the seller winds up its operations or dissolves shortly after a sale of substantially all its assets, it will trigger this factor.
Finally, an “assumption of obligations” looks at the obligations necessary for the ordinary course of business. This could include customers, contractors, vendor agreements, leases, specific assets that were acquired, phone numbers, websites and domain names, intellectual property, and so on. If the Purchase Agreement isn’t crystal clear on what obligations are and are not assumed by the purchaser, the purchaser may become liable for all of the seller’s obligations.
THE FRAUDULENT TRANSACTION EXCEPTION
The purchaser of a company can be liable for the debts and obligations of the selling company, if it’s determined the asset sale was made in an attempt to escape such debts and obligations. This can arise, when ownership in the purchasing company is awarded to the sellers owners, as payment (or consideration) for the assets. To avoid this exception, stock in the purchasing company can be awarded to the seller itself, not the individual owners, which will help to keep the selling company solvent for the benefit of outstanding debtors and creditor
But seriously, if you bought a mutant for 1099 you got one hell of a deal. Call up my man in Amsterdam, Dman1114, get a new barrel and move on. I mean really, we are talking 150 bucks fitted to your gun. It’s not a big deal.
I am referring to the new owner not being responsible for the previous owners.
I know for a fact because I bought a R1 right before the company was sold and there was no lifetime warranty, they got rid of it and I am in California.
Companies are bought and sold everyday and they are not going to put themselves out of business trying to fix the mess previous owners made when they did not make a penny off of that transaction.
Heck Joe could change the name to “Suck it boners Airguns” and then the TGAG gripe would die with the old companies name.
People are looking to Joe to save them when in fact he did not put them in this mess.

The TGAG business in AZ. is no longer. It now is a business in another state under a new owner.

I don’t have a dog in this fight but the lifetime warranty argument doesn’t really apply here. In the State of California a lifetime warranty can vary from item to item. In California, for example, a lifetime warranty has a minimum three-year requirement. The Federal Trade Commission says a warranty period not clearly defined is deceptive advertising.
Most consumers see lifetime warranty to mean one of three things: the owner’s lifetime or the time he or she owns the product; the lifetime of the product itself; or the lifetime of the manufacturer.
There’s also an implied warranty, which is that a product can do what it’s supposed to do and that it can be used for any purpose the seller says it can.
So nail clippers should be able to clip nails, but if a salesperson or product insert says it can be used to file them smooth, it should do that too, or you can return them citing the implied warranty.

I remember Beemans Life time warranty. Doc Beeman made it a great selling point, but when Beeman sold the buisness, the “Life time warranty” did not pass to the new owners and died.
The fact is many businesses are sold and do not take on the problems of the old business caused it to close. You can choose what to buy you can buy their name, their inventory but buying their past problems is not mandatory nor is it financially wise to do so.
Go after the people you paid, not the ones you did not.

Fact Joe do you own TGAG now? Fact TGAG was owned by Peter Plesinger? Did you purchase it from Peter Plesinger? Fact or not a fact Baby Mutant guns were sold with barrels that were not advertised? Joe if you bought a gun and it arrived without the barrel you thought you paid for and you found out others had the same issue would you be troubled? Joe if you did indeed buy this company it is now yours and in my opinion this is now your problem. The way I see this the faster Peter takes care of this the better off all parties to this mess wil be. If you actually bought TGAG I assume these are your problems. Hey Joe before you accuse me of slander maybe contact a lawyer to find out what slander actually is.
Just stick to the facts and lets leave what is imagined out of it.

What I clearly wrote was that we all (including Tony and me) have at one time or another purchased from the same dealer which you have been slandering at every opportunity, and slandering me for doing the same. I am not grand standing, I am telling the truth. That was plainly stated earlier.
What is not reflecting well is your constant slandering, without facts. You have NOT purchased from me, but You HAVE liabeled me considerably, when I have a very good customer feedback. The people that HAVE dealt with me know my reputation. Your attacks are un-warranted, but only serve to try to destroy people, and further show your motives.
Shady business practices? The fact is Petr was behind, but catching up from being over-whelmed and un-organized is not “shady”. Is he perfect? No, but at least he is fixing the issues.

If you got a problem with one of Petr’s deals (or had one with me), I have said just call and I’ll help you out. OBVIOUSLY you don’t have a sale gone bad with Petr, as you dont state the order number and you’ve never called. All you have done is continue to stir the pot. So, your constant tirade against Steve and Steve (and by association now Petr) wreaks of another vendor’s statements against the same. Your motive is obvious. You got an issue with ME, then deal with it like a man and a gentlemen. But DON’T you dare put me down, when you haven’t even purchased from me and just talk trash. I got fucked by him once and I learned. I own a baby with a functioning barrel it is a great gun and I won’t let a few two bit gun dealers destroy the name of a great gun with the shananagens that are going on. Also Joe I was not talking about Talon Airguns I find it intetesting how you grand stand here. I guess thinking Tony will crush this? As far as I know Tony is not selling Mutant Compacts with bad barrels not even sure if he has any mutants for sale. He also did not snap up a company that screwed it’s customers on the way out. That is something you will have to deal with. Joe you own TGAG now you should really get shit straight with Peter this is not reflecting well on you. Fact is Peter has been involved in some shadey business practices similar to what happened with Steve Smith wheather known or unknown and both business were sold shortly after the incidents inuendo? To decrease the size just make it smaller with whatever program you have it on.
Then go to your name in the right hand corner on the TAG and click on it
Click on Control Panel
Click on Profile
Click on signature
Then put in your smaller picture.

You need to decrease your ad to at least the size of the owners of the forums ad.

Adam, I saw your 2 PM’s and tried to find out how to remove it. I talked with the forum owner prior to your removing my signature while I was discussing the TGAG issues. (Thanks Tony). I mentioned that I was attempting to limit my signature, but I had issues figuring out how to do so. He said don’t sweat it. No time out necessary.
Also, PM is not the best way to contact me, as I am busy trying to fix issues. Thank you for your assistance in removing the signature, and for your understanding.

Joe go back and read. A few folks gave you some advice get infront of this before it gets infront of you and then it becomes uncontrolable. It is my hope that Peter takes care of all the people who bought these awesome airguns. The longer it drags on the more folks become resentful. And it just maybe true that Joe knew nothing about this and Peter assured Joe it would be taken care of. Well if that take care of period is an extensive amount of time I assume there will be complaints and folks posting here and posting on other boards you may not be able to control. Seems like you are freaking out Joe. Yelling at me. This is not Yellow where I got tossed for merely posting the truth about something I was told.
